Our Tax practice consists of representing individuals and businesses in tax controversies, which includes tax audits, tax protests, and tax court litigation.

We also represent individuals and businesses that owe tax liabilities in compromising those liabilities by filing “Offers In Compromise” or negotiating installment agreements.

We further represent a number of tax exempt organizations on compliance issues.

Lastly, we advise individuals and companies with regard to general business matters, purchases, and sales of businesses and the like.

Our Commercial And General Litigation practice represents clients in such diverse matters as civil RICO actions; securities actions; construction matters; tax disputes; corporate dissolution and corporate shareholder derivative actions; partnership disputes; disputes involving the purchase and sale of goods from foreign and domestic sources; real estate matters; mortgage and other lien foreclosures; disputes involving religious institutions; and international commercial disputes involving foreign governmental agencies and companies. We represent clients in all forums, including state and federal trial and appellate courts, arbitration panels, and administrative agencies. Our Litigation Group also advises clients with respect to developing, implementing and enhancing their human resource policies and practices in order to minimize the risks of employment litigation.

Our Matrimonial and Family practice represents prominent and high net worth clients in all aspects of their marital and family law needs, including prenuptial agreements, divorce, and custody. Mr. Mantel, who heads our Matrimonial Practice, was elected President of the American Academy of Matrimonial Lawyers, New York Chapter, and is recognized by New York's Bar as a pre-eminent leader in this complex and specialized field. Our Firm has an outstanding reputation and successful track record in litigated matrimonial cases, at trial and on appeal. Due to our firm's reputation and our financial and analytical skills, we are also successful in reaching favorable settlements for the vast majority of our matrimonial clients. We take pride in our demonstrated ability to successfully manage the myriad of complex circumstances raised in our clients' matters, including the multitude of business and financial issues, complex separate property claims, public and private equity entitlements, and child related issues. Quite often, as a result of our successful representation of a matrimonial client, we are asked to remain as a trusted counselor and advisor in our clients' business, financial and personal affairs. Our White Collar Criminal Defense practice provides counsel to individuals charged with federal or state crimes. We have expertise in defending a wide array of charges, including income tax and sales tax evasion, bribery, extortion, embezzlement, RICO, fraud, forgery, bid rigging, securities fraud, and banking violations. Recently, we won an acquittal for a businessman and company charged with Commercial Bribery, Scheming to Defraud and anti-trust crimes, and we were able to set aside criminal sales tax convictions against other business clients.

Our Bankruptcy And Business Reorganization, and Creditors ’Rights practice handles matters ranging from complex business reorganizations and highly sophisticated creditor claims to individual debt counseling, restructuring and reorganization. In representing debtors and creditors, we have engaged in debt restructuring involving creditor groups; represented clients in chapter 11 cases; and workouts outside of bankruptcy. We regularly are engaged in corporate refinancing and complex bankruptcy litigation. As counsel for debtors in chapter 11, our representative clientele experience include: reorganizing sophisticated electronics manufacturers, residential real estate complexes and the redevelopment of a complex mix of commercial and residential real property in Manhattan. As creditors’ counsel, we represent clients both in corporate and small business cases, as well as individuals seeking to discharge debts. Often our chapter 11 reorganization cases of individuals involve complex tax litigation. The Firm has represented debtors and creditors in cases under chapters 7, 11 and 13 of the Bankruptcy Code, and has extensive experience in guiding our clients through workouts and arrangements outside of the bankruptcy laws. Unlike many other bankruptcy departments, we have extensive litigation experience before bankruptcy courts nationwide. Recently, our client was awarded summary judgment by the Bankruptcy Court in Vermont dismissing over $165,000,000 of creditor claims asserted under RICO. Asset protection counseling is an additional area of our expertise.

Our Corporate, Business and Real Estate practice handles the structuring, formation, financing (both equity and debt), business and commercial requirements of medium and small businesses, not-for-profit entities including corporations, limited liability companies, general and limited partnerships and individuals. We provide counsel to our corporate clients with regard to such diverse matters as structuring their ownership and governance arrangements; shareholders' and directors’ meetings; financing through debt and equity placements; preparing and negotiating stockholder, limited liability company operating and partnership agreements; employment, independent contractor, management services and consultant agreements; manufacturing, supply, terms of sale, distribution and licensing agreements; non-compete and confidentiality agreements; stock and asset acquisitions and divestitures; joint venture arrangements; real estate contracts of sale and lease agreements; and a full spectrum of business-related services.

Our Lending, Foreclosure and Loan Enforcement practice includes the representation of middle market lenders in a variety of types of financing including working capital lines of credit, term loans, asset-based loans and real estate loans.  Such credit facilities are provided to businesses and individuals in a wide range of business endeavors.  We also frequently represent the borrowers in such loan transactions.  Our representation of lenders also extends to serving as counsel in connection with debt restructuring, work-out transactions and the enforcement of the rights of lenders following defaulted loans, including mortgage foreclosure proceedings, lift-stay proceedings and actions to enforce loan and guaranty agreements.
